1. Grant of License
Subject to the terms and conditions of this License Agreement, Innocent Michael Network Inc. (Licensor) hereby grants to you (Licensee) a non-exclusive, non-transferable, limited license to use the software and documentation (Software) solely for your internal business purposes.
2. Restrictions
a. Licensee shall not, without the prior written consent of Licensor, copy, modify, adapt, translate, publicly display, publish, create derivative works of, sublicense, lease, rent, loan, distribute, or otherwise transfer the Software. b. Licensee shall not reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Software.
3. Ownership
The Software is licensed, not sold. Licensor retains all right, title, and interest, including all intellectual property rights, in and to the Software and any copies thereof. Licensee does not acquire any rights, express or implied, other than those expressly granted in this License Agreement.
4. Termination
This License Agreement is effective until terminated. Licensee may terminate this License Agreement at any time by destroying all copies of the Software. This License Agreement will terminate immediately without notice from Licensor if Licensee fails to comply with any provision of this License Agreement. Upon termination, Licensee must destroy all copies of the Software.
5. Disclaimer of Warranty
THE SOFTWARE IS PROVIDED "AS IS", WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NONINFRINGEMENT. IN NO EVENT SHALL LICENSOR BE LIABLE FOR ANY CLAIM, DAMAGES, OR OTHER LIABILITY, WHETHER IN AN ACTION OF CONTRACT, TORT, OR OTHERWISE, ARISING FROM, OUT OF, OR IN CONNECTION WITH THE SOFTWARE OR THE USE OR OTHER DEALINGS IN THE SOFTWARE.
6. Limitation of Liability
IN NO EVENT SHALL LICENSOR BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES, OR DAMAGES FOR LOSS OF PROFITS, REVENUE, DATA, OR DATA USE, INCURRED BY LICENSEE OR ANY THIRD PARTY, WHETHER IN AN ACTION IN CONTRACT OR TORT, ARISING FROM LICENSEE'S ACCESS TO, OR USE OF, THE SOFTWARE.
7. Governing Law
This License Agreement shall be governed by and construed in accordance with the laws of Canada, Ontario, without regard to its conflict of laws principles.
8. Entire Agreement
This License Agreement constitutes the entire agreement between the parties concerning the subject matter hereof and supersedes all prior and contemporaneous agreements and understandings with respect to such subject matter. No amendment to or modification of this License Agreement will be binding unless in writing and signed by Licensor.
By using the Software, you acknowledge that you have read this License Agreement, understand it, and agree to be bound by its terms and conditions.
